These Terms of Service ("Terms") govern your access to and use of the website and services provided by Olify, a product of Workhorse Growth Partners, LLC ("Olify," "we," "our," or "us"). By accessing or using the Services, you agree to these Terms and our Privacy Policy.

1Eligibility & acceptance

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you accept these Terms. If you use the Services on behalf of a business, you represent that you are authorized to bind that business.

2The Services

Olify provides a branded customer-relationship platform with AI-assisted lead handling, a unified inbox, automations, scheduling, reviews, reporting, and related marketing tools for home-services and outdoor-living businesses. Features may be added, changed, or removed over time.

3Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and keep it current.

4Subscriptions, billing & cancellation

Paid subscriptions are billed on a recurring monthly basis at the then-current price (currently $300/month) unless otherwise agreed in writing. Subscriptions are month-to-month with no long-term contract; you may cancel at any time, with cancellation effective at the end of the current billing period. Fees already paid are non-refundable except where required by law. We may change pricing with prior notice.

5Acceptable use

You agree not to misuse the Services, including by: violating any law; sending unlawful, deceptive, or unsolicited messages (spam); infringing the rights of others; attempting to disrupt or gain unauthorized access to the Services; or using the Services to send communications without the consents required by law (including the TCPA, CAN-SPAM Act, and similar regulations).

6Messaging & compliance

You are solely responsible for obtaining any consents required to contact your own customers by SMS, email, or phone through the Services, and for complying with all applicable communications, marketing, and privacy laws.

7Intellectual property

The Services, including all software, content, and trademarks, are owned by us or our licensors and are protected by applicable law. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription. You retain ownership of the data and content you provide.

The Services may integrate with third-party platforms (for example, GoHighLevel and other providers). Your use of those services is governed by their own terms and policies, and we are not responsible for them.

9Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that any specific business result — such as a particular number of leads or amount of revenue — will be achieved.

10Limitation of liability

To the maximum extent permitted by law, Olify and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or revenues. Our total liability for any claim will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim.

11Indemnification

You agree to indemnify and hold harmless Olify and its affiliates from any claims, damages, or expenses arising out of your use of the Services or your violation of these Terms.

12Termination

We may suspend or terminate your access to the Services if you violate these Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

13Governing law

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in South Carolina.

We may update these Terms from time to time. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
